Introduction summary

As a contract design and development company, Cambridge Consultants (“CC”)  provides a wide range of design, development and professional services to its global clients covering a diverse range of industries from telecommunications to medical technology. This role requires the successful candidate to be a member of a team that negotiates terms and conditions to CC’s clients, taking into account the design and development nature of CC’s services and working towards a goal of a mutually acceptable contract.

Main purpose of the job

As a Contracts Manager, the substantial portion of your duties is twofold: the review and negotiation of a variety of contractual agreements as well as supporting the IP Manager in facilitating patent applications, IP assignments, and associated documentation.  This role requires on the one hand a balance of empathy for the technical work CC undertakes and driving negotiation of terms and conditions essential to managing commercial risk, and on the other hand an affinity for attention to detail in completing patent documentation.

Type of work undertaken by department

This role is a support service that underpins the work of all divisions of the company.  The successful candidate will join the Business Office in providing the services required.  As a small team of four we each take prime responsibility for a number of functions but must be prepared to support each other where workload or availability demands.

Specific responsibilities

  • Drafting, analysing and negotiating a wide range of client agreements covering all industries of technology, eg telecommunication, pharmaceutical, life sciences, consumer
  • Establishing sub-contracting terms that include flow down terms from client requirements
  • Advising PMs on the commercial issues relating to the use of open source software
  • Creating and negotiating technology licences
  • Working with client patent counsel and internal project teams to facilitate intellectual property assignments and patent applications
  • Assisting in data protection compliance
  • Providing contract law and other training as necessary
  • Supporting, and cross-training with, the other members of the Business Office team

Minimum requirements

  • Education to degree level in business or law and/or equivalent professional experience in a contracts or legal department. Prior experience as an IP administrator or paralegal is a plus
  • Good understanding and working knowledge of warranties, indemnities, liabilities, intellectual property
  • Ability to create negotiation strategies and otherwise work in a calm manner whilst under pressure with tight deadlines
  • Sound empathy for the technical work undertaken by CC
  • Ability to work both independently and proactively as well as with a wide range of staff in a friendly and positive manner to deliver the company’s objectives as a team
  • Effective verbal and written communication skills with both internal and external clients with high customer focus
  • Ability to resolve problems and issues in a timely manner
  • Affinity for learning new skills
  • Working knowledge of Microsoft Office, Excel, Word, PowerPoint
